PREAMBLE

As an initiative of the National Infrastructure Protection Center's (NIPC) InfraGard program, the InfraGard Executive Board authorizes the establishment of an InfraGard Manufacturing Industry Association (IMIA) aimed at enhancing the security of the manufacturing community's critical infrastructures and equipping manufacturers with world class information assurance knowledge, services and products. The primary focus of the IMIA is to engage InfraGard chapters, the NIPC, government, industry and academia in an ongoing collaborative exchange to assess the impact of policies, practices and procedures associated with the infrastructures that support the manufacturing industry and its related supply chains. IMIA brings new strategic dimensions to the InfraGard program and complements the educational and communications objectives of the InfraGard program.

The IMIA program serves as a proactive alliance, a resource and a community for manufacturing industry members who share a common interest in improving their ability to defend the integrity of their critical infrastructure systems and trusted collaboration environments. The program will communicate and provide access to advancements and best practices that address critical infrastructure risks, threats, and opportunities for the manufacturing industry sector. The program seeks to build trust among participants, enabling manufacturers to leverage the expertise of partners.

ARTICLE I. NAME AND LOCATION

SECTION 1. The name of this program shall be the InfraGard Manufacturing Industry Association (the "IMIA").

SECTION 2. The IMIA is a special interest group within the InfraGard program, operating under the oversight of the InfraGard Executive Board.

SECTION 3. The IMIA shall be initially operated and deployed by the National Center for Manufacturing Sciences (the "NCMS"), which is headquartered at 3025 Boardwalk, Ann Arbor, Michigan 48108, in cooperation with local InfraGard chapters around the country

ARTICLE II. PURPOSES AND RELATIONSHIPS

SECTION 1. Purposes. The IMIA shall:

a. Provide a proactive alliance, a resource and a community for manufacturing industry sector organizations that are concerned with ensuring unimpeded access to business-critical infrastructure systems, and share a common interest in collectively improving their ability to defend the integrity of these systems, thereby ensuring more resilient and better protected global critical infrastructures.

b. Focus on the priorities of, and champion advancements that proactively address risks, threats, and opportunities for, the manufacturing industry sector.

c. Facilitate communications among government, infrastructure providers, and significant infrastructure users, encouraging balance between public and private sector interests.

d. Develop relationships that will permit the robust exchange of information by the government and the private sector members.

e. Provide a proactive alliance within the manufacturing industry sector to further the achievement of the mission and goals of the National Infrastructure Protection Center and its InfraGard program.

SECTION 2. Relationship to InfraGard. The IMIA will operate consistently with the InfraGard By-Laws, and other duly enacted requirements of InfraGard. The IMIA will nominate a representative for the InfraGard Advisory Board. The IMIA will fully disclose all operations of the IMIA to the InfraGard Executive Board, including but not limited to membership, financial transactions, activities, outreach and education efforts, as reasonably requested by the InfraGard Executive Board, and will have the opportunity to present a report at each annual InfraGard Congress.

ARTICLE III. MEMBERS

SECTION 1. Membership Eligibility. Any member in good standing of any chapter of InfraGard shall be eligible to join the IMIA.

SECTION 2. Administration. The IMIA may refuse, suspend or terminate any Members' participation based on that Member's violation of the InfraGard By-Laws, InfraGard Code of Ethics, the IMIA charter, or any other duly enacted requirements of InfraGard.

ARTICLE IV. LEADERSHIP

SECTION 1. IMIA Board of Advisors. The IMIA Board of Advisors' primary function is to establish the strategic direction for the program, and to oversee all aspects of its implementation. The Board's responsibilities include:

  • Upholding the IMIA Charter to ensure the integrity, fairness and productivity of IMIA
  • Setting IMIA's membership, communications, governmental affairs and international agenda and priorities
  • Chartering and reviewing IMIA projects and activities
  • Providing an accounting of all IMIA activities, membership, financial transactions, and other relevant information to the InfraGard Executive Board as reasonably requested.

To ensure manageability and efficiency, the IMIA Board of Advisors is limited to a maximum of 13 members. Board members will be initially solicited and appointed by the NCMS President from manufacturing industry and NCMS staff. All board members shall be elected from participants of the IMIA no later than the 2003 InfraGard Congress.

Board meetings are held on a quarterly basis, with Internet conferences / teleconferences held from time to time to conduct official business as may be needed. Minutes of Board meetings will be published, generally to the public. In special cases minutes may be restricted to a smaller distribution, which will always include the InfraGard Executive Board.


SECTION 2. Professional Staff. The IMIA International professional staff is responsible for implementing the strategic directions adopted by the Board of Advisors, and for executing the day-to-day affairs of the program. The Executive Director is responsible for directing the program's day-to-day operations. The Executive Director's responsibilities include:

  • Managing the IMIA, the principal staff, and coordinating project development and review
  • Planning and executing IMIA's Community, communications strategy, executive forums, demonstrations, projects and events
  • Targeting member recruitment
  • Facilitating appropriate relationships among IMIA, other consortia, and public and private organizations
  • Coordinating ongoing operational and administrative support
  • Publishing electronic and paper copy documentation

ARTICLE V. AMENDMENTS

This Charter may be altered, amended or repealed by a majority vote of the InfraGard Executive Board per its operating policies. Any amendment may be proposed to the IEB if it is endorsed with a majority vote of the IMIA Board of Advisors at any Board of Advisors meeting when the proposed amendment has been set out in the notice of such meeting.

THIS CHARTER IS SO AUTHORIZED THIS 20th DAY OF DECEMBER IN THE YEAR 2001 BY A MAJORITY CONSENT OF THE INFRAGARD EXECUTIVE BOARD.
